EMNEK LMS Terms & Conditions of Use

1. Definitions and Interpretation

In these Terms:

• “Platform” means EMNEK LMS, including its website, applications, software, APIs, learning tools, dashboards, and related services.
• “User” means any individual or entity accessing or using the Platform, including learners, instructors, administrators, educational and institutional clients.
• “Content” means all learning materials, videos, text, assessments, quizzes, certifications, and other educational resources made available on the Platform.
• “User Content” means any content uploaded, submitted, or created by Users.
• “Fees” means any charges payable for paid courses, subscriptions, certifications, or services.

2. Eligibility and Authority

You must be at least 16 years old (or the age of majority in your jurisdiction) to use the Platform. If you are using the Platform on behalf of an organisation, you confirm that you have the authority to bind that organisation to these Terms.

3. Acceptance of Terms

Your access to or continued use of the Platform constitutes full acceptance of these Terms, the Privacy Policy, and any additional policies referenced herein.

4. User Roles

The Platform supports three categories of users:

• Admins – Manage users, upload courses, and generate reports.
• Instructors – Create and manage course content, monitor learners, and provide feedback.
• Learners – Enroll in courses, access learning materials, and complete assessments.

Each user is responsible for activities carried out under their account.

5. Account Registration and Security

• Users must provide accurate and complete information during registration.
• Accounts must be authenticated before access is granted.
• You are responsible for maintaining the confidentiality of your login credentials.
• Any unauthorized use of your account must be reported immediately.
• EMNEK shall not be liable for unauthorised access resulting from your failure to secure your account.

6. Permitted Use and User Obligations

You agree to use the Platform only for lawful educational purposes and not to:

• Violate any applicable law or regulation;
• Upload harmful, offensive, defamatory, or misleading content;
• Infringe intellectual property or privacy rights;
• Attempt to access systems or data without authorisation;
• Interfere with Platform performance or security.

Emnek Digital Limited reserves the right to suspend or terminate accounts that violate these Terms.

7. Courses, Certifications, and Learning Outcomes

• EMNEK provides tools for digital learning but does not guarantee employment, academic credit, or professional outcomes.
• Certifications or completion badges are awarded only upon meeting stated course requirements.
• EMNEK reserves the right to modify or discontinue courses at any time.

8. Course Content

• Instructors retain ownership of content they create.
• By uploading content, instructors grant Emnek LMS a license to host and distribute it on the Platform.
• Admins may upload course materials in read-only format.
• Learners are granted limited access to course content for personal learning only and may not redistribute it.

9. Enrollment & Access

• Learners may enroll in courses available on the Platform.
• Access to courses may be subject to payment (if applicable).
• Access rights may be revoked if Terms are violated.

10. Assessments & Certification

• Assessments may include quizzes, assignments, or other evaluations.
• Results are generated automatically upon successful completion of courses.
• Certificates are issued only after meeting completion requirements.

11. Progress Tracking & Analytics

• The Platform tracks user activity, progress, and performance metrics.
• Data collected is used to improve learning outcomes and provide insights.
• Admins and instructors may access analytics relevant to their roles.

12. Fees, Payments, and Refund Policy

• Fees for courses or services must be paid as required.
• All Fees are clearly displayed prior to purchase and are payable in advance.
• Payments are non-refundable unless otherwise stated.
• Pricing may change at any time with prior notice.
• Refunds, if available, are governed by the Refund Policy applicable at the time of purchase.
• EMNEK reserves the right to deny refunds where content has been substantially accessed or completed.

13. Intellectual Property Rights

• All Platform software, branding, designs, and Content are the exclusive property of Emnek Digital Limited or its licensors.
• Users are granted a limited, non-exclusive, non-transferable, revocable licence to access Content for personal or internal educational use only.
• Users may not reproduce, distribute, resell, or commercially exploit Content without prior written consent.

14. User Content and Licence Grant

• Users retain ownership of User Content they submit.
• By uploading User Content, you grant EMNEK a worldwide, royalty-free licence to host, use, reproduce, and display such content for Platform operation and improvement.
• EMNEK reserves the right to remove User Content that violates these Terms.

15. Privacy and Data Protection

• EMNEK processes personal data in accordance with its Privacy Policy and applicable data protection laws, including the UK GDPR and EU GDPR where applicable.
• Users have rights regarding access, correction, deletion, and portability of personal data.
• EMNEK implements reasonable technical and organisational measures to protect personal data.
• User data will not be shared with third parties without consent, except where required by law.
• Users are responsible for safeguarding their account information.

16. Service Availability and Modifications

• EMNEK aims to maintain high service availability but does not guarantee uninterrupted access.
• The Platform is provided on an “as-is” and “as-available” basis.
• Scheduled maintenance, updates, or unexpected outages may occur.
• EMNEK may modify, suspend, or discontinue any part of the Platform at its discretion.

17. Suspension and Termination

• EMNEK may suspend or terminate access immediately for breach of these Terms, fraudulent or harmful activity misuse, or security risks.
• Users may terminate their account at any time, subject to outstanding obligations.
• Upon termination, access to Content and certifications may be revoked.

The Platform and all Content are provided for educational purposes only. EMNEK does not warrant that information provided is complete, accurate, or suitable for any specific purpose.

Emnek Digital Limited shall not be liable for:

• Any indirect or consequential damages;
• Loss of data, revenue, or business opportunities;
• Issues arising from third-party integration.
• EMNEK shall not be liable for indirect, incidental, consequential, or economic loss.

Nothing in these Terms excludes liability that cannot be excluded by law.

21. Indemnification

You agree to indemnify and hold harmless EMNEK, its directors, employees, and partners from any claims, losses, damages, or expenses arising from your use of the Platform or breach of these Terms.

22. Third-Party Services

The Platform may integrate third-party tools or services. EMNEK is not responsible for third-party content, availability, or practices.

23. Changes to Terms

EMNEK may amend these Terms from time to time. Continued use of the Platform following changes constitutes acceptance of the revised Terms.

24. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales, and the courts of that jurisdiction shall have exclusive authority.

25. Severability

If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
